Junior Attorney - Small Business Transactions & Contracts (Per Diem, Project-Based)

Job Description:

A Manhattan-based company is seeking a Junior Attorney with expertise in small business transactions and contract law for a per diem, project-based role. In this position, you will work on a variety of legal needs for small business clients, primarily focused on drafting, reviewing, and negotiating contracts and supporting transactional matters.
We are looking to pay on a per-project basis, not hourly, for completed work.

Responsibilities:

- Draft, review, and negotiate a range of contracts, including vendor agreements, partnership agreements, and other business-related contracts.
- Conduct legal research and analysis on issues relevant to small businesses.
- Advise clients on best practices for structuring transactions to minimize risks.
- Assist with due diligence and document management for business transactions.
- Stay informed on relevant laws and regulations impacting small businesses.

Requirements:

- Juris Doctor (JD) from an accredited law school and licensed to practice law in New York.
- 1-2 years of experience in small business transactions and contract law.
- Detail-oriented with strong written and verbal communication skills.
- Ability to manage multiple projects independently on a project-by-project basis.
